These are the Terms of Use ("Terms") under which all job seekers, employers or other users ("You") may use the CRUITLY Sites and the Services (each as defined below). These Terms include the CRUITLY Privacy Policy, which is incorporated into these Terms by reference

These Terms constitute a binding agreement between You and Cruitly, Inc. or the Cruitly company operating the Web site for the country in which You live or in which business is headquartered (“Cruitly”), and are deemed accepted by You each time that You use or access any Cruitly Site or Cruitly Services. If You do not accept the Terms stated here, do not use the Cruitly Sites and the Cruitly Services.

The Cruitly Sites are defined as any Web sites under Cruitlty’s control, whether partial or otherwise (including, without limitation, Cruitly.com, and the Web site from which these terms of use were accessed from) and include the Cruitly Services. The Cruitly Services are defined as the applications and services offered by Cruitly, including an on-line service to post and search employment opportunities and any mobile application or other interface that allows You to access such application (collectively, “Cruitly Services”). The Cruitly Sites also allow users (“Users”) to create individual profiles, which may include personal information (“Profiles”), and to make these Profiles, or aspects thereof, public.  In addition, Cruitly may collect information about you from publicly-available websites and may use this information to create a Profile or append it to an existing Profile.

Cruitly may revise these Terms at any time by posting an updated version to this URL. You should visit this URL periodically to review the most current Terms because they are binding on You.

Users who violate these Terms may have their access and use of the Cruitly Sites suspended or terminated, at Cruitly’s discretion.

By using the Site you accept these terms

By using the Site, you confirm that you accept these Jobseeker Terms and that you agree to comply with them.

If you do not agree to these Jobseeker Terms, you must not use the Site.

We recommend that you print a copy of these Jobseeker Terms for future reference.

The user shall not upload, post, transmit, publish, or distribute any material or information that is unlawful, or which may potentially be perceived as being harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, or racially, ethnically, or otherwise objectionable.

The user expressly states that the resume/insertion or information/ data being fed into the network of Cruitly by the user is correct and complete in all respects and does not contain any false, distorted, manipulated, fraudulent or misleading facts or averments. Cruitly expressly disclaims any liability arising out of the said resume insertion/information/ data so fed into the network of Cruitly by the user. Further, the user agrees to indemnify Cruitly for all losses incurred by Cruitly due to any false, distorted, manipulated, defamatory, libelous, vulgar, obscene, fraudulent or misleading facts or otherwise objectionable averments made by the user on the network of Cruitly.

The User is solely responsible for maintaining confidentiality of the User password and user identification and all activities and transmission performed by the User through his user identification and shall be solely responsible for carrying out any online or off-line transaction involving credit cards / debit cards or such other forms of instruments or documents for making such transactions and Cruitly assumes no responsibility or liability for their improper use of information relating to such usage of credit cards / debit cards used by the subscriber online / off-line.

The User/Subscriber/Visitor to Cruitly.com and/or its affiliated websites does hereby specifically agree that he/she shall, at all times, comply with the requirements of the Information Technology Act, 2000 as also rules, regulations, guidelines, bye laws and notifications made thereunder, while assessing or feeding any resume/ insertion or information/data into the computers, computer systems or computer network of Cruitly. The said User/ subscriber/ visitor to Cruitly.com and/or its affiliated websites does further unequivocally declare that in case he violates any provisions of the Information Technology Act, 2000 and/or rules, regulations, guidelines, byelaws and notifications made thereunder, he shall alone be responsible for all his acts, deeds and things and that he alone shall be liable for civil and criminal liability there under or under any other law for the time being in force.

The User is solely responsible for obtaining, at his own cost, all licenses, permits, consents, approvals and intellectual property or other rights as may be required by the user for using the Service. 

No Warranties or Obligations

You agree that Cruitly makes no representations, warranties, promises or guarantees regarding any content provided or generated by third parties, including, without limitation, the content of messages, Job Advertisements and resumes. You further agree that Cruitly acts as a passive conduit for the distribution, provision, and publication of User Content, and has no obligation to screen or verify the accuracy, legality, legitimacy, truthfulness, or completeness of User Content, and accordingly, you accept that Cruitly is not responsible and has no liability for User Content. You understand that you may be exposed to User Content that is inaccurate, incomplete, illegal, misleading, false, offensive, constitutes spam, or is otherwise unsuited to your purpose, and you accept that it is your responsibility to verify the quality, accuracy, truthfulness, legality or reliability of User Content, including, without limitation, resumes/CVs and Job Advertisements and content of messages. Your reliance on any User Content is at your own risk.

Notwithstanding the foregoing, although Cruitly has no obligation to screen User Content, to the extent that Cruitly becomes or is made aware of User Content that may or does (i) violate the terms of this Agreement or any other Agreement you have with Cruitly, or (ii) violate any law or regulation, or (iii) violate the rights of third parties, or (iv) create liability for Cruitly or otherwise negatively impact Cruitly, Cruitly reserves the right to reject and/or remove such User Content, and suspend and/or terminate any User Account associated with such User Content.

User Interactions and Assumption of Risk

You understand and agree that Cruitly does not, and cannot, confirm that each User is who he/she/they claim to be. We are not responsible for authenticating Users and therefore it is your responsibility to conduct the appropriate due diligence before communicating or interacting with other Users, including, without limitation, Job Seekers, employers, staffing agencies, and recruiters. You assume all risks associated with Users with whom you come into contact. If you have any disputes or issues with any User you agree to pursue any remedies directly with the applicable User and you release Cruitly, its subsidiaries, and their respective employees, directors and agents from all claims, demands and damages of every kind (actual and consequential and direct and indirect) known and unknown, suspected and unsuspected, disclosed and undisclosed, to the fullest extent permitted by law.

Content Disclosure

Cruitly reserves the right to disclose User Content and any information related to the provider of such User Content, to third parties in connection with the operation and provision of the Services, to enforce the terms of any agreement that we have with you, to comply with legal obligations and requests from governmental authorities, law enforcement agencies, court orders, subpoenas, etc., and to protect the interests of Cruitly where necessary. For the avoidance of doubt, you agree that we have the right to disclose your identity to a third party who is claiming that any User Content you posted, provided or uploaded is fraudulent, false, or misleading or constitutes a violation of the law, or a violation of their intellectual property or ownership rights, or of their right to privacy.

USER CONTENT LICENSE GRANT

By posting, submitting, providing and/or otherwise making available any User Content, you expressly grant, and represent that you have a right to grant, to Cruitly, a royalty-free, sub licensable (through multiple layers of sub licenses), perpetual, transferable, non-exclusive, worldwide license to use, sell, reproduce, adapt, translate, sublicense, publicly perform, publicly display, and make derivative works from and otherwise exploit, all such User Content in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for the purposes of posting such User Content on the Cruitly websites, distributing such User Content through the Cruitly distribution and publishing network and in job alerts to job seekers, and to promote Cruitly and the Services. This license continues even if you stop using the Services.

If you are a Client, you acknowledge and agree that Cruitly has no obligation, and may be unable, to remove your Job Advertisements and other content (including any logos and/or trademarks contained there in) once they have been

 (i) Distributed via the Cruitly distribution and publisher network, 

 (ii) Listed in search engine results, or

 (iii) Distributed on websites and in job alert emails or job alert texts, or

 (iv) Incorporated into fixed media displays of Cruitly or any third party, and in each case

 (i) To (iv) above, the license grant from you above will be perpetual and irrevocable for such uses. To the extent your User Content is a trademark, trade name, service mark or service name protected by law, the foregoing license also extends to the use by Cruitly to identify you as a User of the Services in any promotional and marketing materials to promote Cruitly and the Services. Further, to the extent you have given Cruitly the right to access certain User Content that is present on another website or service you own or control, you give Cruitly the right to scrape such website as required to retrieve such User Content for use on the Services as contemplated in the license grants above, notwithstanding any prohibition on scraping set forth in the terms of use or other contractual terms governing such website.

You represent and warrant that you have the rights, power and authority necessary to grant the rights described in this section to User Content that you submit, provide, make available or post, via the Services, that the use by Cruitly of your User Content will not violate any law or infringe the rights of any third party, and that your User Content and any other information that you provide to us is legal, complete, legitimate, truthful and accurate.
